Dolby is seeking a Senior Corporate Counsel to support a wide range of corporate, securities, M&A, and corporate governance activities. The Senior Corporate Counsel will be exposed to a variety of legal and business matters.

Role And Responsibilities

  • Work collaboratively with the finance, people, real estate, stock administration, and other cross-functional teams on a variety of matters
  • Collaborate cross-functionally to identify and draft or update appropriate risk factors and other disclosures
  • Assist with the company’s earnings releases, NYSE submissions, and SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 reporting
  • Prepare board and committee meeting agendas and other deliverables and provide general board and committee support
  • Provide practical, actionable advice and strategic support to executives and employees on a variety of corporate and securities matters
  • Manage Dolby’s strategic investments in other entities and M&A transactions, and support the integration of acquired entities
  • Manage real estate transactions
  • Oversee the governance and administration of all global corporate subsidiaries
  • Maintain minute books and draft corporate documents
  • Advise on investor relations and corporate communications matters, including review of earnings announcements, earnings scripts, press releases, investor presentations, investor communications, public announcements, internal communications, and other materials
  • Monitor, track, and advise on potential impacts of new and proposed corporate and securities laws to ensure continued compliance
  • Stay up-to-date on governance trends, general legal issues and best practices, and recommend changes to Dolby’s programs or policies if advisable

Qualifications/Skills

  • JD from top tier law school with excellent academic credentials and California bar membership (or qualified to register as in house counsel)
  • Minimum of 5-7 years of law firm and/or in-house legal experience
  • Must have significant experience advising on SEC rules, regulations and compliance, including periodic reporting requirements, Regulation FD, and Regulation G
  • Familiarity with NYSE listing standards
  • Be comfortable in a fast-paced environment and able to handle multiple matters simultaneously and to prioritize effectively
  • Evaluate issues from legal and business perspectives with a practical, business-oriented approach to problem solving
  • Strong project management skills
  • Ability to develop strong working relationships and to work across functions and teams
  • Excellent written, oral and negotiation communication skills
