Essential Functions And Key Responsibilities

We are looking for an experienced, self-motivated and efficient senior corporate paralegal who will primarily focus on securities law compliance, corporate governance, NDA management and corporate subsidiary maintenance. Someone who is willing to learn new areas of the law, you will have the opportunity to work on other special projects within the Legal Dept., including process improvement projects and legal operations, as needs arise. You will work closely with Legal team colleagues, reporting to the Senior Director, Corporate Securities and Finance, and work closely with cross-functional business leaders throughout the company. The successful candidate will possess exceptional business judgment, energy, creativity and commitment to teamwork, and have the ability to work autonomously within deadlines. The day to day duties require collaboration with many levels of employees, as well as excellent time management to prioritize and efficiently manage work-loads in a fast-paced environment.

Minimum Knowledge/Skills/Abilities

  • Assist with preparation and filing of quarterly and annual reports with the SEC
  • Draft and manage quarterly internal and external audit letter requests
  • Draft security beneficial ownership and executive compensation tables for the proxy statement
  • Draft and manage proxy statement calendar and deliverables
  • Draft Forms 3, 4 and 5 for Section 16 directors and officers and file directly with the SEC via Workiva’s Wdesk application
  • Maintain stock ownership records for Section 16 directors and officers
  • Manage insider trading list and trading window calendar
  • Assist brokers with Section 16 stock matters and Rule 10b5-1 trading plans
  • Assist with preparation of materials for board and committee meetings
  • Draft subsidiary meeting minutes and consents and manage approvals
  • Draft, distribute and manage annual Section 16 director and officer questionnaires
  • Prepare annual stockholder meeting documents, including the agenda, script, proxy card, proxy notice, stockholder ballot, inspector of election, oath and meeting minutes
  • Maintain updates to corporate governance policies and procedures, such as the code of business conduct and ethics, corporate governance guidelines and insider trading policy
  • Manage updates to internal and external corporate governance websites
  • Draft miscellaneous officer and incumbency certificates
  • Process domestic and international apostille requests
  • Manage Infinera’s domestic and international subsidiary matters, including annual report filings, annual general meeting matters, director/officer changes and foreign qualifications to do business
  • Maintain corporate records and minute books for Infinera and each of its subsidiaries
  • Build and improve standard form agreements and legal processes that scale globally
  • Assist with processing and archiving of nondisclosure agreements
  • Create on-line purchase requisitions for law firms and legal service providers
  • Coordinate with accounts payable on miscellaneous legal invoice issues

Qualifications

A minimum of 5 years of relevant experience in a U.S. law firm or in-house legal department

Experience preparing and filing Section 16-related forms

Experience preparing Director and Officer questionnaires

Experience managing corporate subsidiaries, including international entities

Experience, quality, can-do attitude, work ethic, and interest in technology is highly valued

Experience with web-based applications such as Legal Tracker, Workiva, DocuSign, SAP/Ariba and BoardVantage (or other board portal) highly preferred

Strong written and oral communication skills

Exposure to international operations is a plus, but not required

Notary or willing to become a California-qualified notary

Education Required

A Bachelor’s degree from an accredited college or university; a certificate from an ABA-approved paralegal program is viewed positively, but not required.
