We have an opportunity at our corporate offices in Chicago for a Paralegal on our Office of General Counsel (OGC) team.

As a Paralegal you will provide paralegal services to OGC attorneys, including drafting agreements/amendments and other legal documents; performing legal and corporate research; assisting in litigation discovery; completing regulatory filings; maintaining corporate records.

Responsibilities

Assist Reviewing/Processing Agreements and Maintaining Templates

  • Under direction of OGC attorneys draft agreements, substitute provisions and amendments using templates
  • Complete periodic updates to templates and manage template repository
  • Assist reviewing requests for changes to standard agreement terms
  • Process agreements from initiation through execution in contract lifecycle management system

Legal Research and Intellectual Property Support

  • Assist with compliance activities
  • Complete research as requested, using Westlaw, Practical Law, or other resources
  • Prepare memoranda summarizing and analyzing results of research
  • Complete trademark “knockout” searches and draft analyses of results
  • Assist with trademark applications and maintenance activities
  • Issue litigation holds

Corporate Records and Regulatory Filings

  • Maintain corporate records for AMA and its subsidiaries
  • Manage state business registrations
  • Complete other regulatory filings as needed

Other Assigned Projects / Shared Responsibilities

  • Independently manage specified projects with minimal attorney oversight
  • Collaborate / share responsibility with paralegal team members for specified projects

Requirements

May include other responsibilities as assigned

  • Bachelor’s degree, paralegal certificate from ABA-approved program
  • Minimum 2+ years’ experience as a paralegal, or equivalent experience
  • Demonstrated ability to work effectively as a team player in concert with OGC’s paralegal team, operations staff and attorneys to meet the needs of business unit clients
  • Self-directed, motivated individual who needs minimal supervision and can effectively prioritize and accomplish multiple and diverse assignments with competing deadlines, often working under tight timeframes to accommodate time-sensitive issues
  • Strong written and verbal communication skills with the ability to communicate effectively with individuals at all levels of the organization, including senior leadership
  • Strong drafting skills and must be detail oriented
  • Excellent legal research skills, including Westlaw / Practical Law, and an understanding of litigation discovery practices
  • Excellent organization and prioritization skills and project management experience, with demonstrated ability to exercise sound judgment and maintain a high level of confidentiality
  • Proficiency in Microsoft Office applications (Word, Outlook, Teams, SharePoint, PowerPoint, Excel), and Adobe Acrobat
  • Experience with website content writing and posting a plus
