Lawyer – U.S. Private Bank-Vice President

The Asset & Wealth Management division of the J.P. Morgan Legal Department is seeking an attorney experienced in lending and financing matters. The position will be based in Chicago, IL, Columbus, OH, Plano, TX, or Tampa, FL. The position is an exciting and varied opportunity to provide legal support to the J.P. Morgan Private Bank and to J.P. Morgan Wealth Management, with a particular focus on unsecured and secured extensions of credit (excluding residential mortgages) and margin lending.

The attorney will join a team of Legal colleagues (the US PB Credit Legal team) that supports the Lending Solutions business. Lending Solutions is a global business providing lending and credit solutions for ultra-high and high net worth clients.

Responsibilities Will Include

  • Counsel Lending Specialists, Credit Risk officers, Bankers and Financial Advisors on structuring and documenting a variety of credit transactions.
  • Provide transactional support, including the review, negotiation and drafting of credit and collateral documentation, guarantees, indicative term sheets, amendments and waivers, and the tailoring of standard bank loan documentation forms for custom credit transactions.
  • Periodic projects related to new product offerings, regulatory matters and other business initiatives.
  • Advise, in conjunction with Special Credits Legal, on troubled credit situations.
  • Create, revise, update, and maintain standard form documentation.
  • Provide training for internal clients and functional partners on legal issues.
  • Outside counsel management and communications on credit documentation issues, procedures and changes.
  • Identify and mitigate risks (legal, operational, reputational and other).
  • Advise internal clients on regulatory and compliance policies and issues; conduct legal research; stay current on trends and developments in lending generally.

Qualifications, Skills And Experience

  • Licensed attorney in good standing with at least 5 years of relevant lending / finance transactional experience with a law firm or in-house legal department at a bank or other financial institution.
  • General knowledge of, and experience with, credit and lending issues, transactions and documentation.
  • First class drafting and negotiation skills.
  • Excellent writing and oral communication skills, with demonstrated ability to listen and drive results in a team setting.
  • Collegial; able to build and maintain good relationships with clients and colleagues.
  • Effective and efficient problem solver; excellent organizational skills with strong ability to prioritize and multi-task.
  • Self-starter with strong analytical and collaborative skills; able to deliver high-quality results under tight deadlines.
  • Adaptability and ability to apply existing skills to unfamiliar subject matter areas.
  • Attorney must be licensed to practice law and a member in good standing in the jurisdiction where the role will be located prior to commencement of employment or otherwise in compliance with the in-house counsel registration rules of such jurisdiction.
  • All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment.
