Job Description:

What You’ll Be Doing

• Preparation of Exchange Act reports, including 10-K, 10-Q, 8-K, and proxy statement filings.
• Advising on corporate finance transactions (including public and private securities offerings and debt transactions) and related 1933 Act registration statements.
• Assisting with the preparation and drafting of agendas and materials for the Board of Directors and its committees, including resolutions and minutes.
• Maintaining corporate compliance with SEC, NYSE, and other legal and regulatory requirements applicable to publicly traded companies, including monitoring developments to ensure continued compliance.
• Advising on corporate governance, equity plan, and executive compensation matters, and insider trading and Section 16 compliance while working closely with the stock administration team.
• Maintaining corporate governance records and requirements for more than one hundred domestic and foreign subsidiary entities while working collaboratively with team members in other global regions.
• Supporting the Treasury function with securitization facilities, derivatives, commercial paper, banking arrangements, etc.
• Advising on technology financing and funding arrangements.
• Preparing and hosting compliance training presentations on relevant topics.
• Advising on ESG matters.
• Supporting the M&A function with due diligence review and resolution of issues and drafting and review of related agreements and documents.
• Other matters as appropriate.

What Are We Looking For?

• Three – five years of relevant experience in a top tier law firm or corporate law department.
• JD from a top-tier accredited law school and licensing to practice law in CO or any US jurisdiction.
• Demonstrated eagerness and ability to learn industry, business, and operational matters quickly.
• Able to effectively manage tight timelines and balance competing priorities.
• Exhibit exceptional communication skills and attention to detail.
• Team player with highly developed interpersonal skills.
• Acute attention to detail and ability to multi-task in an evolving corporate culture.

Annual Hiring Range/Hourly Rate:

$127,600.00 – $181,500.00

Actual compensation offer to candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level. The pay ratio between base pay and target incentive (if applicable) will be finalized at offer.
