Overview

This position will primarily support the Bank’s Special Assets Department, which is responsible for management of large commercial credit relationships that are experiencing difficulties. Responsibilities include both legal support of specific matters and cases, as well as general legal counsel on commercial debtor/creditor issues. The candidate should have a high level of expertise and experience involving commercial credit structures and documentation, secured transactions, commercial real estate finance, debtor/creditor law, bankruptcy, restructuring, workouts and litigation relating thereto.

Primary Responsibilities

  • Provide legal support to Special Assets Department and other areas of Bank involved with commercial credit.
  • Identify, address and mitigate legal risks and industry developments associated with workout of commercial credit relationships.
  • Handle select workout matters internally, including evaluation of documentation, development of strategy with workout officer, negotiation and drafting any necessary documentation.
  • In matters handled by outside counsel, provide internal legal support as appropriate.
  • Provide internal legal training.
  • Coordinate with other areas of Bank (e.g., Commercial Risk) as appropriate.

Skills

  • Subject matter expertise in commercial credit, secured transactions, debtor/creditor law, bankruptcy, restructuring and workout of commercial credit relationships.
  • Written and oral communication skills.
  • Legal analytical skills.
  • Ability to work collaboratively with Bank personnel, outside counsel and others to develop and execute upon effective commercial credit workout strategies.
  • Litigation and dispute resolution skills.
  • Ability to organize, prioritize, manage and address numerous complex legal challenges in a timely manner.

Education and Experience Required:

  • J.D. from an accredited law school.
  • At least four years previous experience as an attorney or other relevant experience.
  • New York State or applicable state bar admission.
  • Ability to identify legal issues, evaluate legal risks, and offer solutions.
  • Strong negotiation, interpersonal, organizational skills.
  • Excellent writing, analytical and verbal skills.
  • Strong analytical and decision-making skills.
