HQ LEGAL ADVISOR – PART TIME (BASED IN SPAIN OFFICES)

GENERAL CONTEXT

Org. Setting and Reporting: The HQ Legal Advisor is under the hierarchical supervision of the General Management of MSF Operational Center Barcelona and Athens (MSF OCBA) and under the functional supervision of the Unit 4 manager of MSF Intersectional Legal Department (ILD).

The ILD Unit 4 is in charge of legal and administrative framework of the missions and includes the HQ legal support to MSF entities.

The position is based in a MSF-office based in Spain and might involve occasional travels to other MSF offices in Europe.

JOB GENERAL OBJECTIVE

The main role of this part-time position is to provide legal expertise and support to the headquarters (HQ) of MSF OCBA. This will mainly focus on the review of commercial contracts. It will also include legal support o, trademark issues, governance and institutional matters, under the supervision of ILD.

MAIN RESPONSIBILITIES AND TASKS

The HQ Legal Advisor will be in charge of the following:

1. Provide legal support and expertise in the following areas:

• Review and negotiation of commercial contracts (purchase, services, confidentiality, IT contracts etc.)
• Follow up of the association’s corporate obligations.
• Follow-up of litigation cases in coordination with external lawyers; preparation of an annual report of litigations and legal proceedings faced by MSF OCBA; analyze the evolution of litigations and risk of litigation cases and propose solutions to mitigate the risks in collaboration with the finance department. Legal support of trademarks and domain name matters in coordination with external lawyers and under the supervision of the ILD.
• Advise and provide general legal support for any other legal issues raised by the HQ of MSF OCBA upon request.

2.Act as entry point within the ILD in MSF OCBA for HQ matters. As such, the HQ Legal Advisor shall:

• Identify legal issues and questions arising within OCBA HQ
• Liaise with the legal advisors based in MSF OCBA together with the legal advisors of the ILD.
• Redirect the OCBA HQ request to the right ILD legal advisor if relevant.

3. Participate in building knowledge at HQ and ILD level

• Propose and improve methodological and legal tools to be used at HQ level, in coordination with the ILD; dissemination of the tools and briefing to main HQ users.
• Participate in, create and/or update training modules on HQ-related legal issues.
• Legal and regulatory watch/monitoring in areas relevant for the HQ of MSF OCBA Participation in the ILD by:
• Filling out the activity report of the ILD.
• Being an active member of the ILD intersectional working groups/initiatives.
• Participating in the development, implementation and follow-up of guidelines, templates, policies, tools.

4. Follow-up of external lawyers

• Participate in the selection of pro bono and contracted lawyers at HQ level. Supervise and evaluate the quality of their work in coordination with other OCBA´s legal advisors.

SELECTION CRITERIA

Education and knowledge:

• Desirable an advanced university degree in Spanish law (Master’s degree or equivalent), with a focus on private or commercial law.
• Knowledge of, and ability to apply, legal principles, concepts and procedures and terminology for review, examination, and processing of a range of legal documents.
• Knowledge of various legal research sources, including electronic, and ability to conduct research and analyse information on a wide range of legal issues.
• Ability to draft and review contractual documents.
• Ability to popularize legal information into operational language.
• IT user skills.
• Languages Spanish and English (spoken and written). French is an asset.

Experience:

• Minimum 3 year’s professional experience as lawyer or in-house lawyer.
• Working experience in a law firm or international organisation/company.
• Knwoledge of MSF or humanitarian association is an asset.

CONDITIONS

• Position based in MSF-OCBA Spain offices (Barcelona, Bilbao, Madrid, Sevilla, Valencia).
• Part-time position (50%).
• Duration: 1 year (possible extension to be confirmed)
• Annual Gross Salary: level HQ-4A: 42.753€ in full time (divided in 12 monthly payments) + secondary benefits based on MSF OCBA Reward Policy.
• Starting date: February.
