Job Overview
The Paralegal supports the General Counsel, the Legal Department, and various teams and departments on compliance and legal-related matters, filings, documents, and transactions, including review of internal policies and procedures, legal research, drafting of memorandums and closing documents, monitoring of pending litigation, tracking of contracts and agreements and related deadlines, court appearances, and preparation of other analytics and presentations.
Responsibilities
- Assist the General Counsel and Chief Compliance Office, as well as the Legal Department, on various matters, which may include reporting, tracking, research, review and digesting of loan documents, investor agreements, master agreements, operating agreements, vendor agreements, purchase and sale agreements, grant agreements, and compliance with internal and external policies and procedures.
- Assist with monitoring, tracking, reporting on and conferring with outside counsel.
- Assist with tracking, reporting on, and conferring with investors and lenders on various compliance and reporting requirements and deadlines under any given investor agreement, loan document, or grant agreement.
- Conduct legal research on specific areas of law and prepare summaries and memorandums.
- Track and provide legal updates and summaries on relevant statutory and regulatory state and federal laws relevant to NJCC’s core business and practice areas for compliance purposes and risk management.
- Assist with maintenance and updating of internal corporate governance, compliance and risk policies and procedures, providing recommendations based on legal research and tracking.
- Assist with implementing and tracking self-audits across various lines of business.
- Assist with contract lifecycle management (CLM), including tracking and calendaring of deadlines, and term/maturity dates.
- Assist with the drafting and preparation of Resolutions for the Board of Directors’ review and consideration.
- Create, maintain, manage and store internal documentation files and scan and save all critical documents to server for safekeeping.
Qualifications
- Paralegal Certification from an ABA-approved college-level program along with a college degree or high school diploma.
- 3+ years of experience in a similar position at a law firm or business corporation.
- Ability to compose routine reports, correspondence and other similar documents via Microsoft Word, Excel and PowerPoint.
- Experience with and ability to conduct legal research under LexisNexis, WestLaw or a similar legal software and database.
- Ability to interact with customers, partners, investors and other professionals.
- Self-motivated with ability to work independently, exercise practical judgment, and handle multiple assignments.
- Commitment to teamwork and ability to work collaboratively.
- Computer skills necessary to fulfill job function.
- Limited travel may occasionally be required for court appearances, conferences and other work-related matters.
- General background in finance, lending and banking law on the lender-side a plus.
- General background and knowledge of commercial real estate and closing terminology, documentation and closing requirements a plus.
- General background or experience in an in-house legal department with compliance-related responsibilities a plus.
- Ability to read and interpret loan documents, title commitments and title policies a plus.
- Must have outstanding organizational and time-management skills.
- Accuracy, attention to detail and strong proofreading skills are essential.
